These Terms of Use (the “Terms”) govern your access to and use of https://lakeithentertainment.com (the “Site”), operated by Lakeith Entertainment (“we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not access or use the Site.

1. Eligibility

The Site is intended for users who are at least 18 years of age. By using the Site, you represent and warrant that you are at least 18 and have the legal capacity to enter into these Terms.

2. Description of Services

Lakeith Entertainment provides AI consulting, fractional CEO and COO services, and IT infrastructure services. The Site provides general information about these offerings, thought leadership content, and ways to contact us. Engagements for professional services are governed by a separate written agreement.

3. Account or Contact Submissions

You may submit information through contact forms, newsletter signups, or similar means. You agree that all information you submit is accurate, current, and complete, and that you are responsible for keeping it up to date.

4. Acceptable Use

You agree not to use the Site for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Site. Without limiting the foregoing, you agree not to:

  • Violate any applicable law, regulation, or these Terms
  • Infringe the intellectual property, privacy, publicity, or other rights of any party
  • Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or obscene

  • Attempt to gain unauthorized access to any portion of the Site, related systems, or networks
  • Use any robot, spider, scraper, or other automated means to access or extract content from the Site without our prior written permission
  • Use the Site, its content, or any of our brand assets to train, fine-tune, or otherwise develop machine learning or artificial intelligence models without our prior written consent

Our Content

All content on the Site, including text, graphics, logos, icons, images, audio clips, video clips, downloads, data compilations, software, and the design, selection, and arrangement thereof (collectively, the “Content”), is the property of Lakeith Entertainment or its licensors and is protected by United States and international intellectual property laws.

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site and its Content for your personal, non-commercial use and for legitimate business evaluation of our services. No other use is permitted without our prior written consent.

Trademarks

“Lakeith Entertainment,” our logos, and any related names, product or service names, designs, and slogans are trademarks of Lakeith Entertainment or its licensors. You may not use these marks without our prior written permission.

6. User Submissions

If you submit comments, feedback, ideas, suggestions, or other materials (“Submissions”) to us, you grant Lakeith Entertainment a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, distribute, and create derivative works of those Submissions for any lawful purpose, without compensation or attribution.

7. Copyright Complaints (DMCA)

If you believe content on the Site infringes your copyright, submit a DMCA notice to [email protected] with the subject line “DMCA Notice.” Your notice must include a physical or electronic signature, identification of the copyrighted work, identification of the infringing material, your contact information, and a good faith belief statement.

8. Third-Party Links and Services

The Site may include links to third-party websites, products, or services. We are not responsible for the content or practices of any third party. Inclusion of any link does not imply endorsement.

9. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LAKEITH ENTERTAINMENT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LAKEITH ENTERTAINMENT, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SITE OR ITS CONTENT. OUR TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Lakeith Entertainment and its owners, officers, employees, contractors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from or relating to your access to or use of the Site or your violation of these Terms.

12. Termination

We may suspend, terminate, or restrict your access to the Site at any time, with or without notice and for any reason, including violation of these Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of laws principles. You agree that any legal action arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in the State of Ohio.

14. Dispute Resolution and Class Action Waiver

Except where prohibited by law, you and Lakeith Entertainment agree to attempt in good faith to resolve any dispute through informal negotiation before resorting to formal proceedings. You and Lakeith Entertainment further agree that any dispute will be resolved on an individual basis, and not as part of any class, consolidated, or representative action.

15. Changes to These Terms

We may revise these Terms at any time. The most current version will be posted on the Site with an updated “Last Updated” date. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

16. Miscellaneous

  • Entire Agreement. These Terms, together with the Privacy Policy and any other policies referenced here, constitute the entire agreement between you and Lakeith Entertainment regarding the Site.
  • Severability. If any provision is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • No Waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign or transfer these Terms without our prior written consent.
